  Job Summary

  • We are seeking a highly organized, detail-oriented, and experienced Company Secretary to provide corporate governance, legal, and administrative support to the organization.
  • The successful candidate will ensure compliance with statutory and regulatory requirements, maintain corporate records, coordinate board activities, and provide advisory support to Management on corporate governance matters.

  Key Responsibilities

  • Organize and coordinate Board of Directors and committee meetings.
  • Prepare, distribute, and maintain board agendas, minutes, and resolutions.
  • Ensure compliance with the Companies and Allied Matters Act (CAMA), Corporate Affairs Commission (CAC) regulations, and other applicable laws.
  • Maintain statutory registers, corporate records, and company documentation.
  • Coordinate statutory filings and ensure timely submission of regulatory returns.
  • Advise Management and the Board on corporate governance and compliance matters.
  • Draft and review corporate documents, policies, contracts, and official correspondence.
  • Liaise with regulatory authorities, legal advisers, and external stakeholders.
  • Manage the company's corporate governance framework and ensure adherence to best practices.
  • Perform other duties as may be assigned by Management.
